We are looking for an Associate or Senior Associate to join our Band 1 rated Banking team in our Bristol office.
We are widely recognised as the leading banking firm in the region due to the quality of the work that we do both for lenders (both banks and debt funds) and for institutional investors and corporates. We act for all the banks who are active on significant transactions in the region and we are therefore the go-to South West firm for the region’s biggest mandates, and in particular for multi-bank transactions.
We have a market leading reputation nationally in Osborne Clarke's key sectors of Digital Business; Energy and Utilities; Financial Services and Real Estate and Infrastructure, and as a team we are frequently instructed by lenders and borrowers in relation to debt finance transactions in these areas. In particular, we continue to win TMT and energy finance mandates in Bristol from London bank teams specialising in these sectors.
OC is also well known as a strong firm nationally in the private equity sector, and again the banking team benefits. We have developed particular experience in serving the needs both of borrowers and lenders on leveraged transactions and MBOs and a market leading reputation in the region for acquisition finance work generally.
In addition to acquisition finance and multi-bank syndicated lending, we have considerable experience of corporate finance, real estate finance and project finance. Moreover, we have top-rated teams in ancillary areas of expertise, such as investment funds work, tax and capital markets, which are also important to the lenders active in the region.
The team in Bristol is fully integrated into a fast-growing national and international network, which includes a rapidly-expanding London office, and also accounts for the fact that an increasing volume of our workload is internationally sourced. The Banking team spans all of our 3 UK offices and is made up of 35 lawyers in total. In Bristol there are 2 Partners, 1 Associate Director, 2 Senior Associates, 3 Associates, 1 Trainee Solicitor and 2 Paralegals.
The role will be reporting to Omar Al-Nuaimi and Tom Bussy (both Partners).
We advise some of the leading listed corporate groups in the region (both listed and privately owned) in relation to their debt facilities and other treasury matters.
We advise banks lending to a significant number of the larger private equity funded transactions in the region, including recently Amberon (LDC), Vista (LDC) and Travel Chapter (Phoenix). We are also regularly instructed by lenders on off-market private equity transactions (to fund shareholder cash-outs or further investment) which are non-disclosable.
We act for Foresight Group, a private equity and infrastructure investor, on a wide range of financings, including most recently on the individual debt financing of a portfolio of 26 solar farms. This transaction was highly pressured as it was transacted on 26 individual sets of documentation in a simultaneous closing process, thus demonstrating OC’s capacity to provide a fast and responsive service tailored to meet the needs of a key client.
We advise Oxford Capital Partners LLP ("OCP"), another infrastructure investor, on a wide range of financings, including recently on their refinancing with Aviva Investors of a 92MWp UK Solar PV portfolio of 17 companies consisting of 37 separate ground-mounted and commercial rooftop sites, as well as over 3,100 residential rooftop installations. This complex deal involved reviewing and negotiating project documents for each project, negotiating the release of existing security in certain projects, as well as securing acquisition finance from Aviva on terms that OCP could operate within for the next 15 years.
We advise a number of US-based technology companies on finance matters, including recently negotiating new facilities for XP Power to finance the acquisition of Comdel, a designer and manufacturer of radio frequency power supplies. The debt-financed acquisition was funded with a new revolving credit facility of US$40 million, with a US$20 million additional accordion option. XP Power is a listed business, located across offices in Singapore, California and the UK and supplies the healthcare, industrial and technology sectors with mission-critical equipment that provides power control solutions.
We advised HSBC on the financing of major construction work at Biggin Hill airport, a site of significant historic interest, given that the facility was first opened and used by the Royal Flying Corps during World War I. The loan is to a fund a 140,000-square-foot office, hangar and business aircraft parking facility, and the development of a 50-bed four-star hotel.
We advise on alternative finance transactions funded by the new breed of alternative lenders, including recently where we advised HH Global in connection with note facilities made available by Pricoa Capital (part of a US insurer) to fund a shareholder cash-out transaction. HH Global is a global marketing agency that services some of the world’s largest brands across 43 countries, so the deal plays to one of our premier sector strengths.
We advise lenders to a wide range of real estate finance transactions, including traditional bank lenders such as RBS and Lloyds, but also bridge finance providers such as Topland, the London based investment fund.
Technical skills and experience
You will have gained a broad range of experience in a high quality specialist Banking team. Ideally you will have gained experience within a range of areas such as Real Estate Finance, Corporate Finance, Leveraged Finance and/or Project Finance.
As a guide, due to the nature of the work and the structure of the team, we are looking to appoint an Associate or Senior Associate in this area, although we will consider candidates with more or less experience.
